These Terms of Service (“Terms”, “Agreement”) govern all access to and use of products, services, infrastructure, software, cybersecurity solutions, cloud platforms, automation systems, APIs, backup systems, managed services, hosting solutions, consulting engagements, and related offerings (“Services”) provided by Techsynix Innovations (“Techsynix”, “Company”, “we”, “our”, or “us”).
By accessing, ordering, provisioning, testing, paying for, activating, configuring, or continuing to use any Services provided by Techsynix, the customer (“Customer”, “User”, “you”, or “your”) acknowledges, agrees, and consents to be legally bound by these Terms and all associated Company policies published by Techsynix, whether or not physically signed.
These Terms apply globally and govern all Customers, resellers, affiliates, agents, contractors, and end-users utilizing the Services directly or indirectly.
If you do not agree with these Terms, you must immediately discontinue use of all Services.
1. Service Scope
Techsynix may provide infrastructure hosting, cloud servers, VPS, dedicated servers, cybersecurity solutions, managed services, AI automation systems, SaaS products, APIs, disaster recovery solutions, backup services, monitoring solutions, infrastructure consulting, enterprise technology solutions, software deployment assistance, and related technology services.
Certain Services may rely on: • upstream infrastructure providers, • cloud vendors, • data center operators, • internet transit providers, • hardware manufacturers, • payment processors, • software licensors, • domain registrars, • third-party APIs, • and external service providers.
Techsynix does not guarantee uninterrupted availability of third-party systems and shall not be liable for failures originating outside its reasonable operational control.
2. Binding Acceptance
Use of Services constitutes binding acceptance of: • these Terms, • Privacy Policy, • Acceptable Use Policy, • SLA, • Refund Policy, • KYC Policy, • Abuse Handling Policy, • Backup Policy, • and any operational notices or updates published by Techsynix.
Customers waive the requirement of physical or handwritten signatures for enforceability of this Agreement.
3. Customer Eligibility & Verification
Customers must: • be legally capable of entering binding agreements, • provide accurate and complete information, • maintain updated contact details, • and comply with all applicable laws.
Techsynix reserves the right to: • request government-issued identification, • conduct KYC verification, • request business registration proof, • validate billing information, • request video verification, • perform fraud-risk assessments, • reject high-risk transactions, • or suspend accounts pending verification.
Use of fake identities, stolen payment methods, forged documents, anonymized fraudulent activity, or deceptive onboarding practices is strictly prohibited.
4. Customer Responsibilities
The Customer is solely responsible for: • all activity originating from their account, • server administration, • patch management, • password security, • endpoint protection, • application security, • software licensing, • firewall configuration, • encryption implementation, • backup maintenance, • legal compliance, • content legality, • and all Customer Data.
Customers acknowledge that unmanaged services require technical expertise and Techsynix shall not be liable for customer-side operational failures.
5. Acceptable Use Restrictions
Customers shall not use Services for: • malware hosting, • phishing, • spam campaigns, • botnet operations, • DDoS attacks, • credential theft, • unauthorized scanning, • exploitation attempts, • ransomware, • copyright infringement, • illegal gambling, • financial fraud, • cybercrime, • child exploitation material, • sanctions violations, • deceptive impersonation, • illegal automation, • crypto mining without authorization, • TOR exit nodes, • abusive resource consumption, • or any unlawful or harmful activity.
Any cybersecurity testing may only be conducted on systems explicitly authorized by the Customer or system owner.
Techsynix reserves absolute discretion to determine abuse, suspicious activity, or infrastructure risk.
6. Service Availability
Services are provided on an “as-is” and “as-available” basis.
Techsynix does not guarantee: • uninterrupted uptime, • error-free operation, • continuous connectivity, • absence of cyberattacks, • perfect hardware functionality, • instant support responses, • or compatibility with all workloads.
Scheduled maintenance, emergency mitigation, security filtering, routing adjustments, upstream outages, software bugs, and force majeure events may impact availability.
7. Data Protection & Backups
Unless explicitly stated otherwise in writing: • backups are not included, • backup verification is not guaranteed, • restoration success is not guaranteed, • retention periods may vary, • corrupted source data may remain unrecoverable.
Customers must maintain independent offsite backups.
Techsynix shall not be liable for: • data loss, • corruption, • accidental deletion, • ransomware impact, • failed recovery attempts, • synchronization failures, • storage corruption, • filesystem errors, • software defects, • or customer misconfiguration.
Where backup services are purchased, such services constitute a commercially reasonable best-effort protection layer and not a guaranteed disaster recovery solution.
8. Cybersecurity Services Disclaimer
Cybersecurity services, audits, hardening, monitoring, mitigation, advisory, automation, detection systems, and related offerings reduce operational and security risks but cannot eliminate all threats.
Techsynix does not warrant: • complete prevention of attacks, • absence of vulnerabilities, • regulatory certification, • guaranteed compliance, • uninterrupted protection, • or immunity from breaches.
Customers remain responsible for: • internal governance, • employee security practices, • endpoint protection, • credential management, • and legal compliance.
9. Billing, Payments & Renewals
All Services become billable upon provisioning, activation, reservation, deployment, or resource allocation.
Invoices must be paid before the due date.
Failure to pay may result in: • suspension, • late penalties, • account restrictions, • data deletion, • service termination, • legal recovery actions, • or permanent account blacklisting.
Chargebacks, fraudulent disputes, payment reversals, or unauthorized claims may result in immediate termination and legal escalation.
Techsynix may accept: • Indian banking channels, • UPI, • PayPal, • SWIFT/wire transfers, • payment gateways, • cards, • or other approved payment methods.
10. Refund Limitations
Refunds are discretionary unless otherwise required by applicable law.
Refunds may be considered only where: • provisioning completely fails due to Techsynix fault, • duplicate billing occurs, • paid services are not delivered, • or major infrastructure failure remains unresolved for commercially unreasonable durations.
Refunds shall not apply to: • setup fees, • consumed resources, • software licenses, • domain registrations, • third-party costs, • partially used services, • customer-side incompatibilities, • abuse suspensions, • policy violations, • KYC failures, • bandwidth consumption, • or committed-term services.
11. Suspension & Immediate Enforcement Rights
Techsynix may suspend, restrict, isolate, filter, or terminate Services immediately without notice where: • abuse is detected, • infrastructure stability is threatened, • legal complaints arise, • payment risk exists, • fraud indicators are detected, • KYC remains incomplete, • malware is identified, • excessive resource abuse occurs, • or Company policies are violated.
Customers acknowledge that security actions may occur automatically through abuse-prevention systems.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
Techsynix shall not be liable for: • indirect losses, • consequential damages, • loss of business, • lost profits, • lost revenue, • reputational harm, • cyber incidents, • data loss, • downtime, • SLA impacts, • software failures, • upstream outages, • internet instability, • hardware faults, • or force majeure events.
The maximum aggregate liability of Techsynix under any claim shall never exceed the amount paid by the Customer for the affected Services during the thirty (30) days preceding the incident.
13. Indemnification
Customers agree to defend, indemnify, and hold harmless Techsynix, its directors, staff, contractors, vendors, affiliates, and partners against all claims, damages, investigations, penalties, liabilities, legal costs, or disputes arising from: • customer content, • illegal usage, • abuse complaints, • regulatory violations, • cyber incidents originating from customer infrastructure, • intellectual property disputes, • or customer breach of these Terms.
14. Third-Party Dependencies
Techsynix may rely upon third-party providers for connectivity, infrastructure, software, payment processing, domain registration, anti-abuse systems, cloud services, and related operational components.
Techsynix shall not be responsible for third-party: • outages, • licensing restrictions, • routing failures, • sanctions, • discontinuations, • pricing changes, • or operational limitations.
15. Data Disclosure & Law Enforcement
Techsynix may preserve, monitor, access, or disclose customer information where reasonably necessary for: • abuse prevention, • fraud investigation, • infrastructure protection, • legal compliance, • law enforcement cooperation, • CERT compliance, • sanctions enforcement, • or court orders.
Customers consent to such disclosures where legally required or operationally necessary.
16. Intellectual Property
All Techsynix branding, systems, automation logic, dashboards, scripts, software, documentation, APIs, workflows, and infrastructure tooling remain exclusive intellectual property of Techsynix unless explicitly agreed otherwise in writing.
17. Force Majeure
Techsynix shall not be liable for delays, interruptions, failures, or inability to provide Services caused by: • natural disasters, • internet outages, • war, • sanctions, • labor disputes, • cyberattacks, • government restrictions, • pandemics, • upstream provider failures, • routing instability, • power disruptions, • or events beyond reasonable control.
18. Modifications
Techsynix reserves the right to: • modify Services, • suspend offerings, • alter pricing, • change operational practices, • or update these Terms at any time.
Continued use of Services after publication of updated Terms constitutes acceptance of revised Terms.
19. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
All disputes, claims, or proceedings shall fall under the exclusive jurisdiction of courts located in Delhi, India.
20. Entire Agreement
These Terms, together with all Company policies and operational notices, constitute the complete agreement between the Customer and Techsynix regarding the Services.
By continuing to access or use Techsynix Services, the Customer confirms that they have read, understood, and accepted all applicable Terms, policies, operational notices, and restrictions published by Techsynix.
